TERMS OF USE AND SERVICES
Noyau Wellness Center Online Courses and Continuing Education Programs
Effective date: August 4, 2026
Applies to: Noyau Wellness Center’s Thinkific school, online courses, live programs, downloads, assessments, and related services
IMPORTANT: By purchasing, enrolling in, accessing, or using a Course or Service, you agree to these Terms. If you do not agree, do not purchase, enroll, access, or use the Course or Service.
1. About These Terms
These Terms of Use and Services (the “Terms”) are a binding agreement between you and Noyau Wellness Center (“Noyau,” “we,” “us,” or “our”). They govern your access to and use of our online school and any course, webinar, live training, home-study program, video, audio recording, workbook, handout, assessment, discussion area, certificate, coaching or educational session, and other related content or service we offer (collectively, the “Services”).
Course-specific information shown on a sales page, enrollment page, order form, or checkout screen, including price, dates, access period, prerequisites, continuing education hours, refund rules, and completion requirements, is incorporated into these Terms. If a course-specific term conflicts with these Terms, the course-specific term controls for that Course.
2. Eligibility and Account Registration
You must be at least 18 years old and legally able to enter into a contract to use the Services. You agree to provide accurate, current information and to keep your account information updated.
Your account and login credentials are personal to you. You may not share, transfer, sell, or permit another person to use your account or access Course materials. You are responsible for activity under your account and must promptly notify us if you suspect unauthorized access.
3. Educational Purpose; No Therapy or Professional Relationship
The Services are provided for education and professional development. They are not psychotherapy, counseling, clinical supervision, medical care, legal advice, crisis services, or a substitute for consultation with an appropriately qualified professional. Purchasing or participating in a Course does not create a therapist-client, supervisor-supervisee, consultant-client, fiduciary, or other professional relationship with Noyau or any instructor.
Course examples, demonstrations, and discussions are general and may not fit every person, client, workplace, jurisdiction, or clinical situation. You remain solely responsible for your professional judgment, scope of practice, ethical duties, compliance with applicable law, and decisions concerning clients or other third parties.
If you or another person is experiencing an emergency or may be in danger, call 911 or the appropriate local emergency service. The Services are not monitored as a crisis-response channel.
4. Privacy, Confidentiality, and Client Information
Our collection and use of personal information are also governed by the privacy notice posted on our school or website. The Services may be hosted or supported by third-party providers, including Thinkific and payment processors, whose privacy practices and terms may also apply to their services.
Do not post, upload, email, or disclose protected health information, identifiable client information, confidential supervision material, or other sensitive third-party information through a Course, discussion area, assignment, chat, or support request. De-identification must be sufficient under all laws, professional rules, and contractual duties that apply to you. Noyau does not ask you to disclose client-identifying information to complete a Course.
You are responsible for protecting confidentiality in your physical environment, including when viewing Course materials or attending a live online session.
5. Purchases, Pricing, and Payment
Prices, taxes, payment schedules, and accepted payment methods are shown at checkout. You authorize us and our payment processor to charge the payment method you provide for all amounts due. You represent that you are authorized to use that payment method.
If a payment plan is offered, you remain responsible for every scheduled payment unless the written offer expressly says otherwise. Failure to make a payment may result in suspension or termination of access. Except where required by law or expressly stated in writing, suspension or termination does not cancel amounts already due.
Promotional prices, coupon codes, and scholarships may be limited, changed, or withdrawn at any time before purchase and have no cash value. We may correct an obvious pricing or description error and, when appropriate, cancel and refund an affected order.
6. Refunds, Cancellations, and Chargebacks
The refund and cancellation policy displayed on the applicable Course page or checkout screen controls. If no refund policy is displayed, purchases are final and nonrefundable to the fullest extent permitted by law. This does not limit any nonwaivable right or remedy you may have under applicable law.
Digital access, downloaded materials, completed Course content, issued certificates, live-event attendance, missed live sessions, and failure to complete a Course are not grounds for a refund unless the Course-specific policy says otherwise or law requires it.
Before filing a chargeback or payment dispute, please contact us through the support contact listed on the school site so we have a reasonable opportunity to address the issue. Fraudulent or abusive disputes may result in suspension of access and collection of amounts lawfully owed.
7. Course Access, Changes, and Technology
Your access period is the period stated on the Course page, enrollment page, or checkout screen. If no period is stated, access continues while the Course remains available and your account remains in good standing; lifetime access is not promised.
We may update Course content, instructors, schedules, assignments, technology, or delivery methods when reasonably necessary. For a live program, we may reschedule, replace an instructor, move the program online, or cancel the program. If we cancel a paid program and do not provide a reasonably comparable alternative, our responsibility is limited to refunding the amount paid for the canceled program.
You are responsible for compatible equipment, internet access, current software, and reasonable cybersecurity precautions. We do not guarantee uninterrupted or error-free access, and temporary outages or maintenance may occur.
8. Continuing Education Credit and Certificates
A Course offers continuing education credit only when the Course description expressly identifies the credit type, number of hours, eligible professions or credentials, and provider approval or authorization, if applicable. General educational content does not become approved continuing education merely because a licensed professional completes it.
You are responsible for confirming before purchase that a Course satisfies the requirements of your licensing board, certifying body, employer, jurisdiction, renewal period, and credential. Rules vary and may change. Neither enrollment nor a certificate guarantees that any board, agency, employer, insurer, or credentialing body will accept the Course or award credit.
To receive a certificate or reported credit, you must personally complete all stated requirements, which may include attendance, identity verification, minimum participation, viewing requirements, assessments, evaluations, attestations, and payment in full. Certificates will not be issued before completion of qualifying requirements.
You must use your own legal name and provide accurate credential information. We may withhold, correct, revoke, or report a certificate if information is false, completion requirements were not met, account sharing occurred, academic integrity was violated, or a certificate was issued in error. You are responsible for retaining certificates and reporting credit as required. When applicable, you authorize us to submit completion information to a licensing or continuing education reporting system.
9. Academic Integrity and Participant Conduct
You agree to complete required work yourself and to participate honestly. Prohibited conduct includes impersonation, account sharing, falsifying attendance or completion, obtaining or distributing assessment answers, circumventing viewing or participation controls, harassing others, disrupting a live program, or using the Services unlawfully.
In interactive areas, you must communicate professionally and protect the privacy and dignity of clients, colleagues, instructors, and participants. We may remove content or a participant from a Course when reasonably necessary to protect safety, confidentiality, program integrity, or other users.
10. Intellectual Property and Limited License
The Services and all Course materials, including videos, recordings, slides, workbooks, forms, graphics, assessments, text, branding, and instructor materials, are owned by Noyau or its licensors and are protected by intellectual property laws.
Subject to these Terms and payment of applicable fees, we grant you a limited, personal, revocable, nonexclusive, nontransferable license to access the purchased Course and use its materials for your own education and internal professional reference. No ownership rights are transferred.
Unless we give prior written permission, you may not copy, reproduce, record, livestream, photograph, scrape, download except through an authorized feature, modify, translate, publish, upload, sell, sublicense, distribute, create derivative works from, teach from, or use Course materials to train an artificial intelligence or machine-learning system. You may not remove copyright or proprietary notices.
11. Your Content and Feedback
You retain ownership of content you lawfully submit. You grant Noyau a nonexclusive, worldwide, royalty-free license to host, store, reproduce, and display that content only as reasonably necessary to operate, secure, and improve the Services and respond to you. You represent that you have the right to submit the content and that it does not violate law, confidentiality, privacy, or another person’s rights.
If you voluntarily provide ideas, suggestions, or general feedback, we may use them without restriction or compensation, but we will not publicly identify you as the source without permission. Testimonials, names, images, or recordings will be used for marketing only with any consent required by law.
12. Accessibility and Accommodations
We aim to provide accessible educational experiences. If you need a reasonable accommodation or an alternative format, contact us as early as possible through the support contact listed on the school site. We will consider requests in good faith and may ask for information reasonably necessary to identify an effective accommodation. Accommodations do not waive essential completion, competence, attendance, or integrity requirements.
13. Third-Party Services and Links
The Services may contain links to or depend on third-party platforms, websites, applications, payment services, or resources. We do not control third-party services and are not responsible for their content, availability, security, or practices. Your use of a third-party service may be governed by separate terms and privacy notices. A link or reference does not necessarily mean we endorse the third party.
14. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” NOYAU AND ITS OWNERS, INSTRUCTORS, EMPLOYEES, CONTRACTORS, AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not promise any particular professional, clinical, business, financial, employment, licensing, examination, or client outcome. We do not warrant that Course information will remain current after publication or that every error will be corrected. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NOYAU AND ITS OWNERS, INSTRUCTORS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR PROFESSIONAL CREDIT, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO A PARTICULAR COURSE OR SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO NOYAU FOR THAT COURSE OR SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits do not apply where prohibited by law or to liability that cannot lawfully be limited.
16. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Noyau and its owners, instructors, employees, contractors, and licensors from third-party claims, damages, losses, liabilities, and reasonable costs arising from your unlawful use of the Services; your breach of these Terms; your violation of another person’s privacy, confidentiality, or intellectual property rights; or your professional services or decisions. This section does not require indemnification for a party’s own conduct to the extent prohibited by law.
17. Suspension and Termination
We may suspend or terminate access if you materially breach these Terms, fail to pay amounts due, threaten safety or confidentiality, infringe intellectual property, compromise Course integrity, or misuse the Services. When reasonably appropriate, we may provide notice and an opportunity to correct the issue. Serious, fraudulent, unlawful, or repeated conduct may result in immediate termination.
You may stop using the Services at any time. Termination does not create a refund right and does not eliminate payment obligations already incurred. Provisions that by their nature should survive termination, including payment, intellectual property, disclaimers, liability limits, indemnification, dispute terms, and general provisions, will survive.
18. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Before filing a lawsuit, you and Noyau agree to make a good-faith attempt to resolve the dispute informally by providing written notice describing the issue and requested resolution and allowing 30 days for a response.
Unless applicable law requires otherwise, any court proceeding arising from these Terms or the Services must be brought in a state court located in Tarrant County, Texas, or the federal court with jurisdiction over Tarrant County, Texas, and each party consents to personal jurisdiction and venue there. Nothing in this section prevents either party from seeking appropriate relief for intellectual property misuse, unauthorized access, confidentiality breaches, or other urgent harm.
19. Changes to These Terms
We may update these Terms to reflect changes in the Services, law, professional requirements, or business practices. The updated Terms will be posted with a new effective date. Material changes will apply prospectively unless law permits or requires otherwise. Your continued use of the Services after updated Terms take effect constitutes acceptance of the updated Terms. Terms in effect when you purchased a Course continue to govern completed transactions to the extent required by law.
20. Electronic Communications and Agreement
You consent to receive transactional communications electronically, including receipts, access notices, schedule changes, policy updates, and certificate information. Marketing communications are governed by the choices and unsubscribe options provided with those communications.
Clicking an acceptance box, purchasing, enrolling, accessing a Course, or otherwise indicating assent has the same effect as signing a written agreement, to the extent permitted by law. You may save or print a copy of these Terms for your records.
21. General Provisions
If any provision is found unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a merger, reorganization, sale of assets, or transfer of the Services.
These Terms, the applicable Course-specific terms, and any incorporated privacy or refund notice form the entire agreement concerning the Services and replace prior discussions or understandings about the same subject. Section headings are for convenience only. “Including” means “including without limitation.”
22. Contact Us
Questions, accommodation requests, refund requests, copyright notices, and legal notices should be sent using the current support email address or contact form displayed on Noyau Wellness Center’s Thinkific school or official website. To help us respond, include your full name, the email used for enrollment, the Course title, and a clear description of your request. Do not include client-identifying or protected health information.
